This is a Junior Venture Attorney role at a boutique Texas law firm with a focused practice spanning startups, venture capital, corporate litigation, bankruptcy, and employment. The firm is growing because of increased client demand, so this is a new seat on the team, not a backfill. You will work directly with founders, emerging companies, and venture investors on deals from seed through Series A and beyond, with real partner access and a billable hours target (1,350 per year) that is genuinely designed to protect your time outside of work.
The ideal candidate has 2 to 5 years of venture law experience at a recognized firm with a real venture practice, plus roughly two years of professional work experience between college and law school. You are a self-starter who can draft independently, build client relationships without heavy supervision, and hit the ground running on SAFE, convertible note, and equity financings. You want deeper client work and better balance without giving up the quality of deals you have been working on.
Key Responsibilities
- Support venture capital transactions including SAFE, convertible note, and equity financings from seed through Series A and beyond
- Draft and review documentation for both company-side and investor-side deals, including entity formation, governance, and organizational documents
- Conduct due diligence and risk analysis on transactions, surfacing issues clearly and efficiently
- Build and maintain direct client relationships, coordinating with founders and investors day to day
- Draft pro forma cap tables and financing models covering anti-dilution mechanics, convertible note and SAFE conversions, and post-money ownership calculations
- Support senior attorneys on ongoing client matters and absorb overflow work as the team scales
- Work independently on research and drafting with minimal hand-holding, escalating to partners when appropriate
Required Skills & Experience
- 2 to 5 years of venture law experience at a firm with a real venture practice
- Approximately 2 years of professional work experience prior to law school
- Active Texas Bar license, or willingness and ability to obtain Texas licensure
- Hands-on experience with SAFE, convertible notes, Series Seed, and NVCA financing instruments, beyond surface-level familiarity
- Demonstrated ability to draft and research independently
- Strong interpersonal skills and genuine interest in long-term client relationships
- U.S. work authorization without visa sponsorship (U.S. citizens and green card holders only)
Preferred Skills
- Experience at a large or peer venture firm such as Perkins Coie, Wilson Sonsini, Gunderson Dettmer, Cooley, Fenwick and West, or Nelson Mullins
- Familiarity with cap table modeling and financing waterfall mechanics
- Interest in community involvement and team-first culture
- Comfort working in a boutique environment where ownership and initiative are rewarded
