This is a full-time attorney role sitting within the Technology Transactions Group at a prominent law firm, supporting a broad range of high-technology commercial matters. The work centers on complex licensing arrangements, AI-related counseling and deployments, software and content licensing, cloud and application hosting, IP development, and technology transfer relationships. It does not involve IP litigation or prosecution, though it does include advising on transactional privacy, compliance, and the evolving regulatory landscape around artificial intelligence systems.
The ideal candidate brings three to five years of hands-on technology transactions experience, with a strong foundation in drafting and negotiating sophisticated commercial agreements. You are commercially minded, pragmatic, and a quick learner who can serve both emerging companies and established enterprises. You work well independently and as part of a team, manage competing priorities with ease, and bring genuine curiosity about where technology law is heading.
Key Responsibilities
1. Draft and negotiate complex technology licensing agreements, including those involving AI deployments, software, and content
2. Advise clients on cloud and application hosting arrangements, distribution agreements, and IP development relationships
3. Counsel on transactional privacy issues and compliance matters, including emerging AI regulatory requirements
4. Manage multiple concurrent matters independently while collaborating closely with team members across offices
5. Develop customized agreement structures that reflect each client's specific commercial and legal needs
6. Apply creative problem-solving and sound analytical thinking to transactional challenges
7. Contribute actively to practice group training initiatives and stay current on relevant legal and regulatory developments
8. Support both early-stage companies and large enterprises with pragmatic, business-oriented legal counsel
Required Skills & Experience
• 3 to 5 years of experience in technology transactions
• Substantive background in high-technology commercial transactions and intellectual property licensing
• Proven ability to draft and negotiate complex commercial agreements
• Strong analytical skills and creative problem-solving ability in a transactional context
• Ability to manage and prioritize multiple projects in a fast-paced environment
• Demonstrated ability to work both independently and collaboratively
• J.D. from an accredited law school and admission to the bar in the relevant jurisdiction
Preferred Skills
• Experience with agreements involving artificial intelligence counseling and deployments
• Familiarity with cloud hosting and application hosting service arrangements
• Exposure to transactional privacy, compliance, or AI regulatory matters
• Interest in and aptitude for mentoring and practice group development
