Technology Transactions Attorney (3rd–5th Year)

About the Role

Our client is seeking a Technology Transactions Attorney with 3–5 years of experience to join its Technology Transactions Group in New York. This role focuses on advising emerging companies and established enterprises on sophisticated commercial technology transactions, intellectual property licensing, and technology-driven business agreements.

The ideal candidate has extensive experience drafting and negotiating complex technology agreements, particularly those involving software, cloud services, artificial intelligence, and intellectual property commercialization. This position is transactional in nature and does not involve intellectual property litigation or patent prosecution.

Key Responsibilities

• Draft, review, and negotiate a wide range of commercial technology agreements, including:

  • Software licensing agreements

  • Content licensing agreements

  • Artificial intelligence (AI) deployment and counseling agreements

  • Cloud and application hosting agreements

  • Distribution and partnering agreements

  • Technology development and transfer agreements

  • Intellectual property licensing arrangements

• Advise clients on transactional intellectual property matters

• Counsel clients on privacy, compliance, and regulatory issues related to technology transactions, including evolving AI regulations

• Support technology aspects of strategic corporate and commercial transactions

• Manage multiple client matters simultaneously while providing practical, business-focused legal advice

• Collaborate with attorneys across corporate, intellectual property, privacy, and regulatory practice groups

• Contribute to knowledge sharing and practice group training initiatives

• Stay current on legal developments affecting technology transactions, AI, privacy, and intellectual property licensing

Required Qualifications

• Juris Doctor (JD) degree

• 3–5 years of experience in technology transactions

• Significant experience drafting and negotiating complex commercial technology agreements

• Experience with:

  • Intellectual property licensing

  • Software and content licensing

  • Commercial technology transactions

  • Cloud and application hosting agreements

  • Technology development and transfer arrangements

  • Distribution and partnering agreements

• Strong drafting, analytical, negotiation, and communication skills

• Ability to manage multiple matters independently and collaboratively

• Commercially minded with strong problem-solving abilities

• Excellent academic credentials from a nationally recognized law school

• Experience advising on:

  • Artificial intelligence (AI) counseling and deployments

  • Transactional privacy issues

  • Technology compliance and regulatory matters

• Experience representing technology companies, software providers, or emerging growth businesses
