Technology Transactions Associate Attorney (3rd–5th Year)

About the Role

Our client is seeking a Technology Transactions Associate Attorney (3rd–5th year) to join its Technology Transactions Group in New York.

This role is ideal for an attorney with significant experience in technology transactions, commercial agreements, and intellectual property licensing. The successful candidate will advise emerging companies and established enterprises on sophisticated technology-driven transactions, including software licensing, cloud services, artificial intelligence deployments, technology development, and strategic commercial partnerships.

This position is transactional in nature and does not involve intellectual property litigation or patent/trademark prosecution.

Key Responsibilities

• Advise clients on a broad range of technology transactions and commercial agreements

• Draft, review, and negotiate:

  • Software licensing agreements

  • Content licensing agreements

  • Artificial intelligence (AI) deployment and counseling agreements

  • Cloud hosting and application hosting agreements

  • Distribution and partnering agreements

  • Technology development and transfer agreements

  • Intellectual property licensing arrangements

• Counsel clients on transactional intellectual property matters

• Advise on privacy, compliance, and regulatory issues related to commercial technology transactions, including evolving AI regulations

• Support technology aspects of strategic corporate and commercial transactions

• Collaborate with attorneys across corporate, intellectual property, privacy, and regulatory practices

• Manage multiple sophisticated client matters while delivering practical, business-focused legal advice

Required Qualifications

• 3–5 years of experience in technology transactions

• Significant experience drafting and negotiating complex commercial technology agreements

• Strong experience with:

  • Intellectual property licensing

  • Software licensing

  • Commercial technology transactions

  • Cloud services agreements

  • Technology commercialization

• Excellent drafting, analytical, negotiation, and communication skills

• Ability to manage multiple projects independently and collaboratively

• Strong business judgment and commercially focused legal approach

• Experience at a national or international law firm preferred

• Strong academic credentials from a nationally recognized law school

• Juris Doctor (JD) degree required

  • Privacy and data protection issues in commercial transactions

  • Technology transfer arrangements
