Tech Transactions Associate (Remote)

About the Role

This role sits inside a fast-growing, fully remote law firm and back-office platform built exclusively for venture-backed startups from pre-seed through Series B. The firm pairs senior ECVC and tech transactions attorneys with paralegals, bookkeepers, and project managers in a dedicated squad model, and an in-house engineering team actively rebuilds legal delivery using AI. The organization is bootstrapped, profitable from day one, and growing roughly 20 percent month over month entirely through word of mouth, which means equity grants carry no dilution risk.

The ideal candidate brings 3 to 6 years of dedicated tech transactions experience at a BigLaw or top-tier firm, or a strong firm pedigree combined with commercial in-house work across multiple industries. Healthcare fluency (BAAs, HIPAA, selling into regulated environments) is a real priority, not a nice-to-have. So is hands-on data privacy work: drafting DPAs and privacy-related MSA provisions yourself, not routing them to a separate team. Beyond the substantive legal work, this person is genuinely curious about AI, can point to concrete examples of using or rolling out AI tools, and is excited to help build processes from the ground up rather than inherit them.

Key Responsibilities

1. Draft, review, and negotiate MSAs, SaaS agreements, DPAs, BAAs, and other commercial contracts across a diverse, multi-industry client base
2. Advise venture-backed founders directly on technology transactions, data privacy (including HIPAA), and commercial lifecycle matters
3. Work within a dedicated client squad alongside ECVC attorneys, paralegals, and back-office teams to deliver integrated, always-on support
4. Delegate and project-manage work to paralegals while maintaining quality, providing full context, and building institutional knowledge
5. Collaborate with engineers and product teams to refine AI-enabled legal workflows and improve how tech transactions work gets delivered
6. Maintain broad industry exposure across multiple client verticals, including health tech, AI, and other regulated or high-growth sectors

Required Skills & Experience

• 3 to 6 years of experience as a tech transactions attorney, with at least 3 to 4 years dedicated specifically to tech transactions (time focused on the practice, not just years post-JD)
• Experience at a BigLaw or top-tier firm (such as Cooley, Goodwin, Fenwick, Latham, or similar) or a top-firm pedigree combined with substantive commercial in-house experience
• Broad industry exposure across multiple clients and sectors; candidates whose experience is concentrated on a single client are not a fit
• Healthcare experience including hands-on work with BAAs, HIPAA, and contracts involving hospitals or health systems
• Direct, hands-on data privacy experience: drafting DPAs and privacy-related MSA provisions independently, not delegating to a separate privacy team
• Commercial contracting depth across technology transactions, MSAs, and SaaS agreements
• Demonstrated, concrete interest in AI tools, whether through leading a tool rollout, integrating AI into daily legal work, or comparable initiative
• US work authorization required; visa sponsorship is not available
