Business Function

Group Legal, Compliance & Secretariat (LCS) ensures that the bank's interests are protected by zealously guarding and enhancing its reputation and capital. Responsibilities

• Monitor regulatory and market developments concerning digital and virtual assets, assess implications for the Bank, and communicate developments to stakeholders.
• Assist in preparing consultation responses, briefing papers, position papers and other submissions to industry bodies and regulators.
• Provide legal and regulatory support for GFM’s digital asset, virtual asset, tokenisation and related initiatives, including engagement with business units, support units, external counsel, industry bodies and regulators.
• Represent the GFM L&C team in facilitating collaboration across other business units, particularly on joint projects, by coordinating inputs and promoting consistent advice.
• Participate in local, regional and group-wide projects and initiatives, sharing knowledge, precedents and best practices.
• Provide timely, practical and commercially focused legal and regulatory advice to GFM and relevant support units on transactions, products, services, operations, and strategic initiatives.
• Identify, assess and manage legal and regulatory risks, and advise on appropriate controls, mitigants and escalation.
• Draft, review and negotiate agreements, customer-facing documentation, product terms, policies, procedures, guidelines and other legal or regulatory materials.
• Review and advise on existing and new laws, regulations, regulatory guidance and market practices; support implementation, remediation or repapering exercises where required.
• Support new product, new business and change initiatives, including conducting legal and regulatory risk assessments and working with relevant stakeholders to establish workable solutions.
• Support regulatory enquiries, examinations, investigations, notifications and other engagements, and coordinate clear and timely responses.
• Develop and deliver training or guidance on key legal, regulatory and emerging-risk topics.
• Instruct and manage external counsel to obtain high-quality, practical and cost-effective advice.
• Escalate significant legal and regulatory developments, incidents and concerns promptly, and proactively develop appropriate solutions.

Requirements

• Law degree from a common law jurisdiction and admission as a qualified lawyer (Hong Kong qualification preferred).
• Vice President level: Minimum 10 years’ post-qualification experience in a reputable law firm, financial institution, regulatory body, or comparable organisation, with substantial banking or financial services experience.
• Assistant Vice President level: Minimum 5 years’ post-qualification experience in a reputable law firm, financial institution, regulatory body, or comparable organisation.
• Strong knowledge of relevant banking, securities and other financial services laws, regulations, regulatory expectations and market practices.
• Knowledge of digital asset and virtual asset products, business models and regulatory frameworks is highly desirable.
• Strong legal analysis, drafting, negotiation and problem-solving skills, with sound judgement and attention to detail.
• Ability to build strategic working relationships with business units, senior management, external counsel, regulators and industry bodies while maintaining appropriate independence.
• Excellent written and verbal communication (English and Chinese), presentation and stakeholder-management skills.
• Strong sense of ownership, agility and willingness to engage in active learning with a growth mindset.
