Position: Senior Debt Associate
Location: New York (100% Remote).
Must be admitted to practice law in the State of New York

We are seeking an experienced and driven Senior Debt Associate Attorney to join our Clients Team. In this role, you will provide expert legal counsel on financing and corporate transactions, collaborating with a global network of attorneys and clients to lead complex deals and strategic corporate growth initiatives.

Beyond venture debt and venture equity, you will assist clients across a broad range of general legal matters — including corporate transactions, entity formation, and corporate governance — with a particular emphasis on finance and equity markets. You will regularly work with domestic and international clients to help them grow their businesses and exceed their goals.

KEY RESPONSIBILITIES
Working alongside partners, associates, paralegals, and local counsel across US jurisdictions and internationally, you will:
▪ Advise clients on financing and corporate transactions, including drafting complex commercial documents, leading transactions, and managing team members
▪ Handle the legal aspects of corporate transactions such as mergers & acquisitions, debt and equity financings, fund formation, regulatory compliance, and commercial agreements
▪ Conduct in-depth research and legal analysis across various practice areas
▪ Anticipate, identify, and guard clients against legal risks
▪ Structure, draft, review, and administer contracts and other legal documents
▪ Guide corporate clients in ensuring compliance with applicable rules and regulations
▪ Lead client calls, communications, and negotiations
▪ Close complex multi-party deals

MINIMUM REQUIREMENTS
▪ Juris Doctor (J.D.) or equivalent foreign law degree
▪ 5–8 years of experience as a corporate attorney in a law firm, with a focus on debt financing transactions, including:
  • Asset-backed facilities
  • Term loans
  • Receivables financings
  • Working capital facilities
▪ Experience representing both borrowers and lenders in connection with the above

SPECIAL REQUIREMENTS
▪ Must be admitted to practice law in the State of New York
▪ Research and analysis experience on laws applicable to debt finance transactions, including:
  • New York General Obligations Law
  • New York Uniform Commercial Code
  • Common Law of New York State
  • Delaware Corporation and Business Entity Laws
  • Investment Company Act of 1940
▪ Demonstrated ability to analyze and synthesize legal documentation to assess debtor and creditor rights and obligations, including a company's capacity to incur debt, liens, investments, restricted payments, and/or dispositions across various debt finance scenarios.

▪ Proven experience drafting and negotiating legal documentation, including:
  • Debt commitment and fee letters
  • Credit agreements
  • Intercreditor and subordination agreements
  • Guarantee and collateral agreements
  • Account control agreements
  • Company resolutions and organizational documents
  • Legal opinions
▪ Ability to advise and represent clients on legal and commercial issues — particularly their rights and obligations under applicable law — and to formulate strategy in connection with capital raising, structuring, and counterparty negotiations.
