Private Companies Attorney (3rd–6th Year) – Life Sciences Focus

About the Role

Our client is seeking a Private Companies Attorney with 3–6 years of experience to join its nationally recognized Private Companies practice. This role focuses on advising venture-backed life sciences companies and the investors who support them throughout every stage of their growth.

The ideal candidate has substantial experience counseling early-stage and growth-stage life sciences companies on general corporate matters, venture capital financings, and liquidity events. This is an opportunity to work with innovative companies shaping the life sciences industry while building a sophisticated corporate practice.

Key Responsibilities

• Advise venture-backed life sciences companies throughout their business lifecycle

• Counsel clients on general corporate matters, including corporate governance and strategic business issues

• Represent companies in:

  • Venture capital financings

  • Growth financings

  • Liquidity events

• Provide legal guidance to founders, management teams, and investors

• Draft, review, and negotiate corporate transaction documents

• Support clients through corporate growth, fundraising, and exit transactions

• Build and maintain strong client relationships within the life sciences ecosystem

• Participate in business development initiatives, speaking engagements, and practice development activities

• Collaborate with attorneys across corporate, life sciences, and related practice groups

Required Qualifications

• Juris Doctor (JD) degree

• 3–6 years of corporate law experience

• Significant experience advising:

  • Early-stage life sciences companies

  • Growth-stage life sciences companies

  • Venture-backed companies

• Experience handling:

  • Venture capital financings

  • General corporate matters

  • Liquidity events

• Experience working in the corporate department of a national or international law firm

• Strong drafting, negotiation, analytical, and communication skills

• Excellent academic credentials from a nationally recognized law school
