Private Companies Associate Attorney (2nd–6th Year)

About the Role

Our client is seeking a Private Companies Associate Attorney (2nd–6th year) to join its nationally recognized private companies and emerging growth practice in New York.

This role is ideal for attorneys with experience advising venture-backed startups, growth-stage companies, and venture capital investors on a broad range of corporate and financing matters. Associates in this group work closely with innovative, high-growth businesses throughout their lifecycle — from formation and venture financings through strategic exits and liquidity events.

Key Responsibilities

• Advise early-stage and growth-stage companies on:

  • General corporate matters

  • Corporate governance

  • Venture capital financings

  • Growth equity transactions

  • Liquidity events and strategic transactions

• Represent venture capital funds and institutional investors in financing transactions

• Draft and negotiate:

  • Financing documents

  • Investor agreements

  • Corporate governance documents

  • Transaction-related agreements

• Support clients throughout the company lifecycle from formation through exit

• Manage active transactional matters and coordinate deal execution

• Work closely with founders, executives, investors, and cross-functional legal teams

Required Qualifications

• 2–6 years of corporate transactional experience

• Significant experience representing:

  • Venture-backed companies

  • Emerging growth companies

  • Venture capital investors

• Strong experience with:

  • Venture financings

  • General corporate counseling

  • Liquidity events

  • Corporate governance matters

• Excellent drafting, analytical, and communication skills

• Ability to manage multiple sophisticated matters simultaneously

• Experience at a national or international law firm strongly preferred

• JD from a nationally recognized law school with strong academic credentials
