Job Summary
TheContracts Paralegal / Contract Specialist supplemental workers will support Procurement by assisting, teaching, and coaching Procurement Agents, Senior Managers, and SMEs with contract drafting, vendor paper review, collecting and inputting comments to contracts from SMEs, template selection, contract negotiations, contract origination process reinforcement, and contract review discipline. The role will focus on improving the quality, consistency, and efficiency of contract drafting and review by reinforcing standard work, helping translate business and SME input into appropriate commercial and legal language when needed, and supporting clean handoffs to Legal. The role will work closely with Procurement leadership, Procurement Agents, SMEs, including Legal, and business stakeholders to reduce contractual and operational risk, improve adherence to work instructions, and strengthen the practical application of procurement and contract management processes.
Key Responsibilities
Contract Drafting:
- Develop a thorough understanding of the client's contracting processes and positions, policies, procedures, and governance requirements.
- Assist Procurement Agents with quality assurance reviews of contracts for consistency, completeness, substantive template alignment, and appropriate escalation.
- Train and coach both Procurement Agents and leaders on practical contract drafting expectations and how to redline or otherwise create marked drafts to send to counterparties, template selection, contract negotiation work instructions, manager support expectations, and use of contract negotiations help.
- Assist with commercial language/clauses, including structuring comments clearly and helping ensure comments are actionable and understandable for SMEs and business stakeholders.
- When needed, help translate SME comments into clear commercial or legal language for review by applicable SMEs.
- Reinforce expectations that Procurement Agents provide a compare document in the appropriate SharePoint folder and notify Legal and other SMEs when vendor paper, redlines, or revised language requires review.
- Craft personalized training and coaching plans based on issues and lessons learned.
- Remind Procurement Agents of the BCC step and other required process checkpoints during contract correspondence and review workflows.
- Review Track Changes for clarity, routing readiness, and ease of SME review, including ensuring comments, redlines, and compare documents are organized and understandable.
- Reinforce proper template selection, Contract Negotiations work instructions, Manager support channels, and Contract Negotiations Help as part of routine contract execution support.
- Support documentation, trackers, and process notes that make contract drafting and review practices more consistent, scalable, and repeatable.
Required Skills
- Demonstrated ability to quickly learn complex policies, procedures, and business processes, translate requirements into practical guidance, and effectively teach and coach Procurement Agents and Procurement leaders for consistent adoption and compliance.
- Experience with commercial contract drafting, contract administration, legal operations, procurement, or commercial contracting processes.
- Working knowledge of common contract terms, vendor paper, redlines, track changes, compare documents, and agreement review workflows.
- Strong written communication skills with ability to translate business input into clear contract comments and drafting notes.
- Strong attention to detail, document organization, version control, and confidentiality.
- Ability to collaborate with Procurement Agents, SMEs, including Legal, and Procurement leaders in a high-volume, cross-functional environment.
- Ability to reinforce standard work, work instructions, templates, and process expectations in a practical, coaching-oriented manner.
- Skilled communicator with strong teaching abilities.
Preferred Skills
- Experience in utility, regulated, or large enterprise procurement environments.
- Experience working with Legal, Procurement, contract lifecycle management, SharePoint, and document management tools.
- Experience training, coaching, or providing job aids to procurement agents, contract professionals, or business stakeholders.
Education Requirements
- High School Diploma or Equivalent (required)
- JD preferred; paralegal certificate, contract management certification, or equivalent relevant experience desirable.
- Juris Doctor degree, Paralegal certificate, contract management certification, procurement certification, or comparable legal/procurement contracting experience (desired).
Required Experience
- 5โ10 years preferred in paralegal, contract specialist, procurement contracting, legal operations, or related commercial contracting support.
