M&A Program Manager
Location: Alexandria, VA — In Office 4 Days per Week
Overview
Nota Consulting is seeking an experienced M&A Program Manager to lead complex, high-impact transaction and value creation programs for our clients. Our work includes M&A integrations, corporate carve-outs and divestitures, TSA management and exits, and post-transaction value creation initiatives.
These are high-stakes, fast-moving programs with significant financial and operational impact. Our Program Managers work directly with senior executives and cross-functional leadership teams to bring structure to complex situations, solve problems quickly, drive accountability, and ensure critical transaction milestones are achieved. Success requires a high level of ownership, attention to detail, sound judgment, and a willingness to put in the effort required during critical periods of a transaction.
This position is based in the Washington, DC area and requires in-office attendance four days per week. We believe our best work is delivered through close collaboration, rapid problem-solving, mentorship, and strong team connection. Working together in person is an important part of how we develop our consultants, collaborate across engagements, and maintain the culture and standards of our firm.
Responsibilities
M&A Program Leadership
- Lead complex M&A integrations, carve-outs, divestitures, TSA programs, and value creation initiatives from planning through execution.
- Establish and manage Integration Management Offices (IMO), Separation Management Offices (SMO), Program Management Offices (PMO), and associated governance structures.
- Develop and maintain integrated program plans across multiple functional workstreams, including critical milestones, dependencies, risks, issues, decisions, and critical path activities.
- Drive Day 1 readiness, Day 100 execution, TSA exits, integration and separation milestones, and longer-term transaction objectives.
- Take ownership of program outcomes and proactively identify and resolve issues that could jeopardize transaction timelines or business continuity.
Integration & Carve-Out Execution
- Coordinate complex cross-functional workstreams spanning Finance, HR, Legal, Technology, Cybersecurity, Supply Chain, Operations, Commercial, Procurement, and Shared Services.
- Manage TSA planning, governance, execution, and exit activities, ensuring dependencies and deadlines are actively managed.
- Lead separation planning for carve-outs and divestitures, maintaining focus on Day 1 business continuity and the establishment of standalone capabilities.
- Drive integration planning and execution following acquisitions, ensuring functional plans remain aligned with the transaction thesis and overall integration strategy.
- Identify and proactively manage cross-functional dependencies, risks, resource constraints, and decisions requiring executive intervention.
Value Creation
- Support post-transaction value creation programs, including synergy realization, cost savings, operational improvement, organizational redesign, and process optimization.
- Translate strategic objectives and investment theses into executable initiatives, milestones, owners, and measurable outcomes.
- Partner with executive leadership to identify opportunities to accelerate value capture and improve operating performance.
- Establish and monitor KPIs, synergy targets, cost savings, and other benefits-realization measures.
Executive Governance & Stakeholder Management
- Serve as a trusted advisor to senior executives and functional leaders throughout the transaction lifecycle.
- Lead executive steering committees, governance forums, workstream meetings, and program reviews.
- Develop concise, decision-oriented executive presentations, dashboards, status reports, RAID logs, and decision materials.
- Drive accountability across workstream leaders and teams, ensuring commitments are met and issues are addressed quickly.
- Communicate complex issues clearly and confidently, including when programs are under pressure or require difficult decisions.
Consulting & Firm Contribution
- Deliver high-quality program management and strategic consulting support across Nota Consulting client engagements.
- Build strong client relationships and identify opportunities where Nota Consulting can provide additional value.
- Contribute to business development, proposals, thought leadership, recruiting, and other firm-building activities.
- Mentor junior consultants and contribute to the continued development of Nota Consulting's M&A methodologies, tools, and delivery standards.
Required Qualifications
- 7+ years of professional experience in consulting, program management, M&A, or related transformation roles.
- Minimum of 4 years of professional consulting experience working for a consulting firm is required.
- Direct experience supporting M&A programs is required, including integrations, carve-outs, divestitures, TSA programs, or transaction-related value creation.
- Demonstrated experience managing complex, cross-functional programs with multiple simultaneous workstreams and senior executive stakeholders.
- Strong experience developing and managing integrated project plans using Smartsheet, Microsoft Project, Jira, or comparable program management tools.
- Ability to independently structure ambiguous problems, develop an execution approach, and drive teams toward decisions and results.
- Strong executive presence with exceptional written communication, presentation, facilitation, and stakeholder-management skills.
- Ability to perform effectively in high-pressure environments with demanding transaction timelines and periods of elevated workload.
- Demonstrated ownership mentality, attention to detail, responsiveness, and commitment to delivering against critical deadlines.
- Bachelor's degree required.
- Must be based in or able to commute to the Washington, DC area and work from the office four days per week.
Preferred Qualifications
- Experience with multiple types of M&A programs, including both integration and carve-out/separation engagements.
- Experience with Transition Service Agreements (TSAs), Day 1 readiness, IMO/SMO leadership, synergy realization, or value creation programs.
- Experience working with private equity firms and/or private equity portfolio companies.
- Experience in manufacturing, industrial, technology, SaaS, data and analytics, or business services environments.
- PMP certification preferred.
- Prosci or other Organizational Change Management certification is a plus.
