Director Legal M&AÂ
Location: Antwerp – flexibility available, including hybrid or remote working, with travel to Antwerp and other locations as required.Â
Travel:Approximately up to 15%, depending on transaction activity and location.Â

ResponsibilitiesÂ
AsDirector Legal M&A, you will:Â
Lead the legal workstream for international M&A transactions, including acquisitions, divestments, joint ventures, minorityinvestments and carve-outs, frominception through closing and post-closing implementation.Â
Advise ontransaction structure, sequencing,governance and execution strategy,identifying material legal risks and recommending pragmatic solutions.Â
Leadlegal due diligence,prioritizing materialissues and translating findings into clear, commercially focused recommendations.Â
Ensure legal risks are appropriately addressed throughtransaction structure, contractual protections, conditions, covenants, warranties, indemnities,insurance or otherappropriate mechanisms.Â
Draft,review and negotiate complex transaction documentation, including confidentiality and exclusivity agreements, term sheets, share and asset purchase agreements, shareholders’ and joint venture agreements, investmentagreements and related ancillary documentation.Â
Lead negotiations with counterparties and advisers, balancingrobust legal protection with commercialobjectives andexecution certainty.Â
Manage signing, closing,conditions precedent and relevantpost-closing obligations, including claims and purchase price adjustment matters where applicable.Â
Act as a lead legal adviser onstrategic partnerships, business alliances, technology collaborations, joint ventures, minorityinvestments and other business development initiatives.Â
Support selectedCorporate Finance and Treasury projects, including debt financing, refinancing, facilities, guarantees, security arrangements, intercompany fundingstructures and related corporate approvals.Â
Coordinate legal input onmerger control, foreign investmentscreening and other transaction-specific regulatory requirements, working with relevant specialists and external counsel.Â
Support internalgovernance and approval processes, including materials and legal input for senior leadership, the Executive Committee, Board ofDirectors and relevant Board committees where applicable.Â
Coordinate internal legal resources, regional Legal+ teams, externalcounsel and specialist advisers, ensuring effective delivery against project timelines andappropriate management of legal budgets.Â
Support the legal aspects ofpost-acquisition integration, divestment separation, transition arrangements, governanceimplementation, and legal entity restructuring.Â
Contribute to the development oftransaction templates, checklists,playbooks and best practices, helping strengthen and continuously improve M&A legal practices across the Group.Â
About YouÂ
You are an experiencedM&A lawyer who combines deep legalexpertise with strong commercial judgement and a pragmatic, business-oriented mindset.Â
Master's degree in law and qualification topractice law ina relevantjurisdiction.Â
8–10+ years of relevant post-qualification experience in corporate law, M&A and complex cross-border transactions.Â
Experience gained in aleading international law firm, a multinational company, or a combination of both.Â
Demonstrated experienceleading M&A transaction workstreams and negotiating complex agreements across multiplejurisdictions.Â
Deep knowledge ofacquisitions,divestments, joint ventures, strategic investments, corporate restructurings, companylaw and transaction governance.Â
Strong ability toscope andlead legal due diligence,identify material issues, assess legalexposure and developappropriate contractual and structural protections.Â
Advanced ability todraft and negotiate complex transaction, corporatedevelopment and financing documentation in English.Â
Exposure tocorporate finance,restructuring, and post-closing implementation is an advantage.Â
Working knowledge ofdebt financing, guarantees, security, intercompany funding, capitalmanagement and related corporate approval processes.Â
Ability toidentify and coordinatemerger control, foreign investmentscreening and other cross-border regulatory requirements with specialist counsel.Â
Strongtransaction project management capabilities, including workstream planning, stakeholder coordination, external counsel management, budgetdiscipline, and deadline control.Â
Experience working withsenior executives and governance bodies in an international, matrixed environment.Â
Strong communication and influencing skills, with the ability totranslate complex legal matters into clear and commercially relevant advice.Â
Full professionalproficiency in English, written and spoken.Â
Additional languages relevant to Sibelco’s international operations are an advantage.Â
Willingness totravel internationally asrequired.Â
