his role sits within the corporate practice of a well-established, internationally recognized law firm with a strong presence in Miami. The team works across a broad range of transactional matters, serving entrepreneurs, investors, financial institutions, and established companies with a meaningful focus on technology, life sciences, and other high-growth industries. The firm is looking for a junior associate to step in and contribute to a sophisticated, fast-moving deal practice from day one.
The ideal candidate brings one to three years of general corporate experience from the corporate department of a national or international law firm, with direct exposure to private company representation. Strong academic credentials from a nationally recognized law school matter here, and candidates who have worked on financings, mergers and acquisitions, and general corporate matters for high-growth businesses will stand out immediately.
Key Responsibilities
1. Advise entrepreneurs, investors, and established companies on a range of general corporate matters
2. Support and lead on private company financings, including venture and growth equity transactions
3. Assist with mergers and acquisitions from early diligence through closing
4. Draft and negotiate transaction documents including purchase agreements, term sheets, and ancillary agreements
5. Collaborate with senior attorneys to manage client relationships and deal timelines
6. Conduct legal research and prepare memos, opinions, and client-facing summaries on corporate law issues
7. Contribute to business development and team initiatives within the corporate practice group
Required Skills & Experience
• 1 to 3 years of general corporate experience at a national or international law firm
• Direct experience representing private companies in transactional matters
• Exposure to financings, mergers and acquisitions, and general corporate work for high-growth businesses
• High level of academic achievement from a nationally recognized law school
• Active bar membership in good standing or eligibility to waive into Florida
Preferred Skills
• Experience in technology, life sciences, or other high-growth industry sectors
• Prior work on cross-border or international transactions
• Strong drafting skills developed across a variety of deal types
• Demonstrated ability to manage multiple matters and client relationships simultaneously
