This role sits within the Government Contracts and National Security practice groups at a nationally prominent law firm with a dynamic and growing Washington, DC presence. The Senior Associate will handle a mix of complex transactional work and regulatory counseling, supporting clients across M&A and structured investments, FOCI analyses, small business programs, cybersecurity compliance, and the negotiation of prime contracts, subcontracts, and teaming agreements.
The ideal candidate brings five or more years of focused government contracts experience, with meaningful depth in both transactional and counseling contexts. They write exceptionally well, juggle short-deadline assignments without sacrificing quality, and hold a strong academic record from a nationally recognized law school. Key Responsibilities
1. Provide transactional support on government contracts matters including M&A due diligence and structured investments
2. Conduct FOCI analyses and support DCSA facility security clearance processes
3. Counsel clients on small business set-aside programs, SBIR awards, and STTR awards
4. Advise on rights in technical data, software, and subject inventions
5. Guide clients through cybersecurity and CMMC compliance requirements
6. Negotiate and review prime contracts, subcontracts, and teaming agreements
7. Manage multiple assignments simultaneously while delivering high-quality, deadline-driven work product
Required Skills & Experience
• Five or more years of government contracts practice experience, including transactional and counseling work
• Demonstrated experience with DCSA facility security clearances and FOCI analyses
• Familiarity with small business set-aside programs, SBIR, STTR, and rights in technical data
• Working knowledge of cybersecurity and CMMC compliance frameworks
• Experience negotiating prime contracts, subcontracts, and teaming agreements
• Excellent written communication skills
• High level of academic achievement from a nationally recognized law school
• J.D. required

• Comfort operating across a broad range of government contracts subject areas simultaneously
