General Corporate Attorney (1st–3rd Year)

About the Role

Our client is seeking a General Corporate Attorney with 1–3 years of experience to join its internationally recognized Corporate practice in Miami. This role focuses on advising private companies, entrepreneurs, investors, and financial institutions, with a particular emphasis on technology, life sciences, and other high-growth industries.

The ideal candidate has experience representing private companies in financings, mergers and acquisitions, and a broad range of general corporate matters. This is an excellent opportunity to work with innovative companies throughout their growth lifecycle.

Key Responsibilities

• Advise private companies on a wide range of corporate matters

• Represent entrepreneurs, investors, financial institutions, and high-growth businesses

• Support clients in:

  • Venture capital and other financing transactions

  • Mergers and acquisitions

  • General corporate governance matters

• Draft, review, and negotiate corporate transaction documents

• Conduct legal research and provide practical, business-oriented legal advice

• Manage multiple client matters while delivering high-quality legal work

• Collaborate with attorneys across corporate and related practice groups on sophisticated transactions

Required Qualifications

• Juris Doctor (JD) degree

• 1–3 years of general corporate law experience

• Experience representing private companies

• Experience with:

  • Financings

  • Mergers and acquisitions

  • General corporate matters

• Experience working in the corporate department of a national or international law firm

• Strong drafting, analytical, negotiation, and communication skills

• Excellent academic credentials from a nationally recognized law school

Preferred Qualifications

• Experience representing companies in the technology or life sciences sectors

• Experience working with venture-backed or high-growth companies

• Strong client relationship management skills

• Ability to manage multiple transactions in a fast-paced environment
