General Corporate Associate Attorney (1st–2nd Year)

About the Role

Our client is seeking a General Corporate Associate Attorney (1st–2nd year) to join its dynamic, internationally recognized corporate practice.

This role is ideal for a junior corporate associate interested in advising entrepreneurs, investors, financial institutions, and high-growth companies across the technology, life sciences, and emerging growth sectors. Associates in this practice gain broad exposure to sophisticated corporate transactions and general corporate counseling matters involving both public and private companies.

The ideal candidate will have strong transactional experience, exceptional attention to detail, and a desire to work closely with innovative companies throughout their growth lifecycle.

Key Responsibilities

• Advise public and private company clients on:

  • General corporate matters

  • Corporate governance

  • Strategic business transactions

• Support clients in:

  • Venture and growth financings

  • Mergers & acquisitions

  • Corporate restructurings

  • General corporate counseling matters

• Draft and review:

  • Transaction agreements

  • Financing documents

  • Corporate governance documents

  • Ancillary corporate documentation

• Conduct due diligence and assist with transaction execution

• Collaborate with attorneys across multiple practice areas to support client needs

• Manage multiple active matters while maintaining high-quality work product

Required Qualifications

• 1–2 years of general corporate transactional experience

• Experience representing:

  • Public companies

  • Private companies

  • High-growth businesses preferred

• Exposure to:

  • Financings

  • Mergers & acquisitions

  • General corporate matters

• Excellent drafting, analytical, and communication skills

• Strong organizational skills and attention to detail

• Ability to manage multiple assignments simultaneously

• Experience at a national or international law firm preferred

• Strong academic credentials from a nationally recognized law school

• Juris Doctor (JD) degree required
