This is a full-time attorney role focused on private investment fund formation at a well-regarded law firm serving sponsors and investors across the private funds landscape. The position covers the full arc of fund work: fund formation, sponsor-level transactions involving general partner and management company entities, and secondary transactions involving limited partner and portfolio company interests.
The ideal candidate is a 2nd through 7th year associate who has trained in the corporate department of a national or international law firm, brings a strong academic record from a nationally recognized law school, and is comfortable representing both sponsors and investors across a range of fund structures and transaction types.
Key Responsibilities
1. Advise sponsors and investors on the formation and structuring of private investment funds
2. Draft and negotiate fund formation documents including limited partnership agreements, PPMs, and subscription agreements
3. Handle sponsor-level transactions involving general partner and management company entities
4. Manage secondary transactions involving limited partner interests and portfolio company interests
5. Counsel clients on regulatory and compliance considerations relevant to private funds
6. Collaborate with senior attorneys and partners on complex, multi-party fund transactions
7. Support business development efforts by contributing to client relationships and industry knowledge
Required Skills & Experience
• 2 to 7 years of private investment fund formation experience
• Experience representing both sponsors and investors in private investment funds
• Completed fund formation transactions, sponsor-level transactions, and secondary transactions
• J.D. from a nationally recognized law school with a high level of academic achievement
• Background in the corporate department of a national or international law firm
Preferred Skills
• Experience across a broad range of fund structures including buyout, venture, credit, and real assets
• Familiarity with SEC registration and exempt reporting adviser requirements
• Strong drafting skills and attention to detail in complex transactional documents
• Demonstrated ability to manage multiple matters and client relationships simultaneously
