Fund Formation Attorney (2nd–7th Year)
About the Role
Our client is seeking a Fund Formation Attorney with 2–7 years of experience to join its nationally recognized Corporate practice. This role focuses on advising sponsors and investors on the formation and operation of private investment funds, including sponsor-level transactions and secondary transactions involving limited partner and portfolio company interests.
The ideal candidate has a strong background in private investment fund formation, excellent transactional skills, and experience working in the corporate department of a national or international law firm.
Key Responsibilities

Represent sponsors and investors in the formation of private investment funds

Advise clients on:

Private investment fund formation
-
Sponsor-level transactions
-
General partner and management company matters
-
Secondary transactions involving limited partner and portfolio company interests

Draft, review, and negotiate fund formation and related transactional documents

Provide strategic legal advice on fund structuring, governance, and corporate matters

Manage multiple sophisticated transactions while maintaining exceptional client service

Collaborate with attorneys across corporate and related practice groups on complex client matters
Required Qualifications

Juris Doctor (JD) degree

2–7 years of private investment fund formation experience

Experience representing:

Private fund sponsors

Institutional and other investors

Experience with:

Private investment fund formation transactions

Sponsor-level transactions involving general partner and management company entities

Secondary transactions involving limited partner and/or portfolio company interests

Experience working in the corporate department of a national or international law firm

Strong drafting, negotiation, analytical, and communication skills

Excellent academic credentials from a nationally recognized law school
