Fund Formation Associate Attorney (2nd–7th Year)

About the Role

Our client is seeking a Fund Formation Associate Attorney (2nd–7th year) to join its nationally recognized Investment Funds practice.

This opportunity is ideal for an attorney with experience representing sponsors and investors in the formation and operation of private investment funds. The successful candidate will advise clients on sophisticated fund formation matters, sponsor-level transactions, and secondary transactions involving limited partner and portfolio company interests.

The ideal candidate will have strong transactional experience, excellent drafting skills, and a background working in the corporate department of a national or international law firm.

Key Responsibilities

• Represent sponsors and investors in the formation of private investment funds

• Advise clients on:

  • Private investment fund formation

  • Sponsor-level transactions

  • General partner and management company matters

  • Secondary transactions involving limited partner interests and portfolio company interests

• Draft, review, and negotiate:

  • Limited Partnership Agreements (LPAs)

  • Limited Liability Company (LLC) Agreements

  • Subscription agreements

  • Side letters

  • General partner and management company documentation

  • Ancillary fund formation documents

• Support clients throughout the fund formation lifecycle, from structuring through closing

• Collaborate with attorneys across corporate, tax, regulatory, and investment management practices

• Manage multiple sophisticated transactions while delivering exceptional client service

Required Qualifications

• 2–7 years of private investment fund formation experience

• Experience representing:

  • Private fund sponsors

  • Institutional investors

• Experience with:

  • Fund formation transactions

  • Sponsor-level transactions

  • General partner and management company entities

  • Secondary transactions involving limited partner and portfolio company interests

• Excellent drafting, negotiation, analytical, and communication skills

• Ability to manage multiple complex matters simultaneously

• Experience in the corporate department of a national or international law firm

• Strong academic credentials from a nationally recognized law school

• Juris Doctor (JD) degree required
