Job Description

The Director will be a key contributor to our growing Capital Solutions team and will report to our Head of Legal for Brookfield Credit.  The role will be based in Brookfield’s New York City offices at Brookfield Place. 

The role provides support to Brookfield’s Capital Solutions Business, as well as other business initiatives, general corporate governance and regulatory matters.  The position will work closely with internal teams responsible for Portfolio Management, Syndication, Risk Management, Investment Operations, Finance, and will often interact with various external parties such as investment banks, auditors, outside counsel and other service providers.

Responsibilities:

Capital Markets Activities

• Act as lead attorney in supporting Brookfield’s capital solutions business which includes providing advice and support to the broker dealer in its origination and syndication activities, including review and negotiation of commitment letters, underwriter agreements, engagement letters, offering memorandum and other documentation.
• Provide strategic advice and guidance on different types of services being provided by the capital solutions business including syndication of debt and equity securities, structuring and arranging subscription line credit facilities and other debt financing for Brookfield related issuers and funds, the provision of internal ratings on assets held by insurance company clients, and other services.
• Assist with obtaining internal approvals needed for engagements, including assessing conflicts of interest associated with engagements by related parties.  
• Provide securities law advice with respect to participation as an underwriter in syndicated transactions, including applicable FINRA regulations.   

Corporate Governance and General

• Assist with various corporate governance functions including internal conflicts resolutions procedures, preparing resolutions, entity management and ensuring a robust governance framework is maintained
• Provide strategic legal advice on applicable laws and regulations and developments in laws
• Ensure compliance with firm-wide and business specific policies and procedures and suggest enhancements to same from time to time
• Review and negotiate agreements including NDAs, service provider agreements and others
• Selection and supervision of external counsel
• Supporting ad-hoc requests and analysis as needed, and other special duties and projects as assigned

Qualifications & Requirements:

• New York bar admission
• Minimum of 4 years’ experience at a major law firm and/or investment bank or broker dealer focusing on syndicated securities transactions and/or structured finance   
• Familiarity with 144a and 4(a)(2) transactions is preferred
• Strong working knowledge of U.S. securities laws and SEC and FINRA regulations, in particular relating to broker dealers
• Familiarity with investment management industry and separately managed accounts is a plus
• Strong communication skills with the ability to present clearly and offer practical advice
• Self-motivated and proactive with the ability to operate independently
• Team-oriented with a commitment to shared success
• Excellent interpersonal skills and ability to develop collaborative relationships at all levels in the organization
• Excellent judgement and analytical skills combined with attention to detail and thoroughness

Compensation

Base Salary: $200,000-250,000

Our compensation structure includes a base salary, a short-term incentive program (cash bonus), and a long-term incentive program. Cash compensation is designed to be market competitive and may vary by geography to reflect local market conditions. Compensation decisions are based on a number of factors, including relevant experience, industry experience, education, and professional designations.
