Corporate Commercial Legal Counsel

Weareseekingan experiencedCorporateCommercialLegalCounseltoprovidestrategic legalsupportacrossabroadrangeofcorporateandcommercialmatters,whilealsooverseeing corporate secretariat responsibilities. The successful candidate will act as a trusted business partner to senior managementand cross-functionalteams, supporting complextransactions, governance matters, commercial negotiations and day-to-day legal operations.

Youwillbeprimarilyresponsiblefor:

·      Draft, review and negotiate a wide range of commercial agreements, including serviceagreements,procurementcontracts,NDAs,partnershipagreementsand technology-related contracts.

·      Providelegaladviceoncorporateandcommercialmattersaffectingthebusinessand its operations.

·      Lead and coordinate corporate secretariat matters, including board and committee meetings,preparationofagendasandminutes,maintenanceofstatutoryrecordsand corporate filings.

·      Coordinateshareholdermatters,powersofattorney,delegatedauthoritiesand internal approvals.

·      Adviseonlegalrisksandprovidepractical,business-orientedsolutions.

·      SupportM&Atransactions,corporaterestructuringsandstrategicprojects,including legal due diligence and transaction documentation.

·      Liaisewithexternalcounsel,regulators,corporateserviceprovidersandother stakeholders where required.

·      Monitorlegalandregulatorydevelopmentsandassesstheirimpactonthebusiness.

·      Providelegalsupporttovariousbusinessfunctions,includingfinance,procurement, sales and operations.

Knowledgeandexperience

·      Qualifiedlawyerwithstrongacademiccredentialsandadmissiontopracticeina relevant jurisdiction, with at least 8 years of relevant professional experience.

·      Significantpost-qualificationexperienceincorporateandcommerciallaw,preferably gained in a reputable law firm and/or multinational corporate environment.

·      Provenexperienceincorporategovernanceandcorporatesecretariatresponsibilities.

·      Strongexperienceindraftingandnegotiatingcomplexcommercialagreements.

·      Experienceincross-bordertransactionsandinternationalbusinessenvironmentswill be considered an asset.

·      Excellentanalytical,communicationandstakeholdermanagementskills.

·      Abilitytoworkindependently,managemultipleprioritiesandprovidepragmaticlegal advice in a fast-paced environment.
