About the Role
Our client is seeking a Debt Finance Associate Attorney (1st–3rd year) to join its nationally recognized Debt Finance practice.
This role is ideal for a junior finance associate with experience representing lenders, borrowers, and/or private equity sponsors in debt financing transactions. Associates will work on sophisticated financing matters across a variety of industries, supporting transactions from structuring and negotiation through closing.
The ideal candidate will have strong transactional fundamentals, excellent drafting skills, and experience working in a fast-paced law firm environment.

Support and execute debt financing transactions, including:

Secured lending transactions

Acquisition financings
-
Debt securities offerings

Draft, review, and negotiate:

Credit agreements
-
Commitment letters
-
Security documents
-
Ancillary financing documentation
-
-
Assist with transaction management and closing processes
-
Prepare and maintain transaction issues lists and closing deliverables
-
Conduct legal research and analysis related to financing transactions
-
Collaborate with corporate, private equity, and finance teams on complex transactions
Required Qualifications
-
1–3 years of debt finance experience
-
Experience representing:

Lenders
-
Borrowers
-
Private equity sponsors
-

Working knowledge of secured lending transactions

Experience supporting and closing financing transactions
-
Experience drafting financing-related documents and transaction materials
-
Excellent analytical, drafting, and communication skills

Ability to manage multiple assignments simultaneously

Strong attention to detail
-
JD from a nationally recognized law school with strong academic credentials

Experience at a large law firm strongly preferred
