Corporate Legal Counsel (6245)

Three Saints Bay, LLC, a federal government contractor industry leader, is seeking an experiencedCorporate Legal Counsel to support a diverse portfolio across multiple subsidiaries. The ideal candidate will bring strong judgment, the ability to translate legal concepts into practical business guidance, and experience working in fast‑moving, multi‑entity environment.This position is located in Anchorage, Alaska.

Position Responsibilities: 
• Draft and negotiate a wide range of commercial contracts.
• Support corporate governance activities, including resolutions, minutes, and general entity maintenance.
• Prepare and review LLC agreements, shareholder agreements, and manage subsidiary structures.
• Conduct M&A due diligence and provide transaction support.
• Advise on ANC and SBA 8(a) regulatory matters.
• Draft and review employment agreements, support employment policies, and assist with personnel-related legal matters.
• Oversee real estate transactions, including purchases, leases, and financing documents.
• Manage litigation and claims, including coordination with outside counsel.
• Identify legal risks and clearly communicate them in practical, actionable business terms.
• Partner effectively with executives, finance teams, and operating-company managers.
• Prioritize and manage multiple legal matters across various subsidiaries.

Position Qualifications:
• Active state bar membership.
• Approximately 5–10 years of relevant legal experience.
• Law firm corporate experience, in‑house experience, or a combination of both.
• Demonstrated business‑oriented judgment rather than purely academic legal analysis.
• Experience with government contracting and federal compliance requirements.
