Corporate Associate Attorney (Public/Private Companies) – 4th–7th Year

About the Role

Our client's San Diego office is seeking a Corporate Associate Attorney (4th–7th year) to join its elite, internationally recognized corporate practice.

This role is ideal for a mid-to-senior level corporate associate with substantial experience advising public and private companies on sophisticated corporate and securities matters. Associates in this practice work closely with high-growth and publicly traded companies on capital markets transactions, SEC reporting and compliance, corporate governance, financings, and strategic corporate transactions.

The ideal candidate combines strong transactional execution skills with the ability to manage sophisticated client relationships and day-to-day public company advisory work.

Key Responsibilities

• Advise public and private company clients on:

  • Corporate governance matters

  • SEC reporting and compliance obligations

  • Exchange compliance matters

  • General corporate counseling

• Represent companies in:

  • Capital markets transactions

  • Equity and securities offerings

  • Financings and strategic transactions

• Draft and review:

  • SEC filings

  • Corporate governance documents

  • Transaction agreements

  • Securities-related documentation

• Support public company clients with ongoing operational and compliance matters

• Collaborate with executive teams, boards, and cross-functional legal stakeholders

• Manage multiple sophisticated client matters simultaneously while maintaining high-quality work product

Required Qualifications

• 4–7 years of corporate transactional experience

• Strong experience representing:

  • Public companies

  • Private companies

• Experience with:

  • Capital markets transactions

  • SEC ('34 Act) reporting

  • Corporate governance

  • Exchange compliance matters

• Ability to independently manage client relationships and active workstreams

• Excellent drafting, analytical, and communication skills

• Experience at a national or international law firm strongly preferred

• Strong academic credentials from a nationally recognized law school

• Experience representing high-growth companies

• Exposure to:

  • Venture financings

  • Mergers & acquisitions

  • General corporate transactional matters

• Experience working with technology, life sciences, or emerging growth companies
