Corporate Associate Attorney (1st–2nd Year)

About the Role

Our client's New York office is seeking a Corporate Associate Attorney (1st–2nd year) to join its dynamic, internationally recognized corporate practice.

This role is ideal for a junior corporate associate interested in advising entrepreneurs, investors, financial institutions, and high-growth companies across the technology, life sciences, and emerging growth sectors. Associates in this practice gain broad exposure to sophisticated corporate transactions and general corporate counseling matters for both public and private companies.

The ideal candidate will have strong foundational transactional experience, excellent analytical and communication skills, and interest in working closely with innovative, fast-growing businesses.

Key Responsibilities

• Advise public and private company clients on:

  • General corporate matters

  • Corporate governance

  • Venture and growth financings

  • Mergers & acquisitions

  • Strategic transactions

• Draft and review:

  • Financing documents

  • Transaction agreements

  • Corporate governance materials

  • Ancillary deal documentation

• Support clients throughout various stages of growth and transactional activity

• Assist with transaction management and due diligence processes

• Collaborate with cross-functional legal teams and business stakeholders

• Manage multiple active matters while maintaining high-quality work product

Required Qualifications

• 1–2 years of general corporate transactional experience

• Experience representing:

  • Public companies

  • Private companies

  • High-growth or emerging growth businesses preferred

• Exposure to:

  • Financings

  • Mergers & acquisitions

  • General corporate matters

• Experience at a national or international law firm strongly preferred

• Excellent drafting, analytical, and communication skills

• Strong academic credentials from a nationally recognized law school
