About the Role
Our client is seeking a CFIUS, Trade Controls & Government Contracts Attorney to join its Washington, DC office. This role is ideal for an attorney with 2–6 years of experience or a strong interest in national security, foreign investment, trade controls, government contracts, and cross-border transactions.
The successful candidate will advise clients on matters involving the Committee on Foreign Investment in the United States (CFIUS), the Outbound Investment Security Program (OISP), export controls, sanctions, government contracts, and transactional support for mergers, acquisitions, and structured investments.
Key Responsibilities

Advise clients on matters involving:

Committee on Foreign Investment in the United States (CFIUS)
-
Outbound Investment Security Program (OISP)

Trade controls
-
Government contracts
-
Export controls
-
Internal investigations
-

Support domestic and cross-border mergers, acquisitions, and structured investment transactions involving national security considerations
-
Conduct legal research and prepare memoranda on regulatory and transactional issues

Assist with CFIUS filings, regulatory submissions, and transaction-related due diligence
-
Advise clients on compliance with U.S. trade and national security regulations
-
Collaborate with attorneys across corporate, government contracts, regulatory, and national security practices

Monitor regulatory developments affecting foreign investment, trade controls, and government contracting
Required Qualifications
-
Juris Doctor (JD) degree
-
2–6 years of legal experience
-
Experience or demonstrated interest in:
-
CFIUS
-
OISP
-
Government contracts
-
Export controls
-
Internal investigations
-
Transactional support for M&A or structured investments

Excellent legal research, analytical, drafting, and communication skills

Strong academic credentials from a nationally recognized law school

Ability to manage multiple matters in a fast-paced environment
Preferred Qualifications

Experience working with or advising on matters involving:

Bureau of Industry and Security (BIS)

Directorate of Defense Trade Controls (DDTC)

Office of Foreign Assets Control (OFAC)

Defense Counterintelligence and Security Agency (DCSA)

Experience supporting cross-border corporate transactions

Background in government contracts or national security law

Experience with export controls, sanctions compliance, or regulatory investigations

Large law firm or government agency experience
