About the Role
Our client is seeking a CFIUS, Trade Controls & Government Contracts Associate Attorney to join its Washington, DC office.
This role is ideal for an attorney with 2–6 years of experience or strong interest in national security, CFIUS, outbound investment, trade controls, government contracts, investigations, and transaction support. The associate will advise clients on sophisticated regulatory and transactional matters involving foreign investment, export controls, sanctions, government contracts, and national security-related issues.
Key Responsibilities

Support matters involving:

Committee on Foreign Investment in the United States (CFIUS)
-
Outbound Investment Security Program (OISP)
-
Export controls
-
Sanctions compliance
-
Government contracts
-
Internal investigations
-
-
Provide regulatory and transactional support for:
-
Mergers & acquisitions
-
Structured investments
-
Cross-border transactions
-
National security-sensitive transactions
-
-
Advise clients on compliance involving key government agencies, including:
-
Bureau of Industry and Security (BIS)
-
Directorate of Defense Trade Controls (DDTC)
-
Office of Foreign Assets Control (OFAC)
-
Defense Counterintelligence and Security Agency (DCSA)
-

Conduct legal research and prepare client-facing analyses on national security and trade regulatory matters
-
Assist with filings, disclosures, risk assessments, and diligence related to CFIUS, export controls, sanctions, and government contracts

Collaborate with corporate, regulatory, investigations, and government contracts teams on complex client matters
Required Qualifications

2–6 years of legal experience

Experience or demonstrated interest in:

CFIUS
-
OISP
-
Government contracts
-
Export controls
-
Internal investigations
-
Transactional support
-

Strong academic credentials from a nationally recognized law school

Excellent legal writing, research, analytical, and communication skills

Ability to manage multiple complex assignments in a fast-paced environment

JD degree required

Experience with one or more of the following agencies:

Experience supporting M&A or structured investment transactions

Experience with cross-border or national security-sensitive transactions

Large law firm or government regulatory experience
