About the Role
Our client, a globally recognized law firm with a premier corporate practice, is seeking a Capital Markets Associate Attorney (3rd–7th year) to join its highly regarded capital markets group.
This role is ideal for attorneys with strong experience advising public companies and underwriters on sophisticated capital markets transactions and ongoing securities law compliance matters. The practice focuses heavily on clients in the technology, consumer/retail, and life sciences sectors.
Associates in this group work on high-profile offerings and provide strategic guidance on SEC reporting, governance, and public company matters in a fast-paced, collaborative environment.
Key Responsibilities

Represent companies and underwriters in:

IPOs
-
Follow-on offerings
-
Equity and equity-linked transactions
-
Other capital markets transactions
-

Advise public companies on:

SEC reporting and disclosure obligations
-
Exchange Act compliance
-
Corporate governance matters
-
Stock exchange compliance requirements
-

Draft and review registration statements, offering documents, SEC filings, and transaction agreements
-
Manage transaction execution and coordinate cross-functional legal teams
-
Maintain and develop sophisticated client relationships
-
Handle multiple active matters in a fast-paced capital markets environment
Required Qualifications

3–7 years of experience in:
-
Capital markets transactions
-
Public securities offerings
-
SEC reporting and compliance
-
-
Experience representing:
-
Public companies
-
Underwriters/investment banks
-
-
Strong experience with:
-
IPOs
-
Equity offerings
-
Public company advisory work
-
-
Excellent drafting, analytical, and communication skills

Ability to manage sophisticated client relationships and multiple workstreams simultaneously

JD from a nationally recognized law school with strong academic credentials

Experience at a national or international law firm strongly preferred

Active California Bar admission or ability to waive in
