Position Overview:

We seek an attorney to serve as the primary in-house counsel for the U.S. Chamber of Commerce Foundation, the 501(c)(3) public charity affiliate of the U.S. Chamber of Commerce. This position is housed within the U.S. Chamber of Commerce’s Office of General Counsel with a direct reporting line to the General Counsel of the U.S. Chamber of Commerce and U.S. Chamber of Commerce Foundation. The Foundation is in a high-growth period in which exciting new programs are emerging. The Foundation seeks an attorney to serve as a partner in this period of growth.

Responsibilities:

• Provide advice regarding the laws applicable to tax-exempt organizations.  

• Review the Foundation’s contracts, including grant agreement, technology contracts, event contracts, and consulting agreements.  

• Advise the Foundation on new program developments, legal structure for strategic partnerships, grants fundraising, and sponsorships.   

• Help program staff strategically plan programs and agreements to ensure compliance with all applicable law.   

• Advise on qualified sponsorships, UBTI, charitable activities, educational activities, grantmaking, Form 990 reporting, structuring and managing relationships with affiliated entities, lobbying activities, and other tax matters.  

• Work on charitable solicitation registration and related issues.  

• Function as an integral part of a friendly, collaborative in-house legal team.   

• Work closely with other operational departments such as Finance, Human Resources, and Information Technology.  

• Work with the Office of General Counsel’s other lawyers to provide support on specific projects and take on a portfolio of work that will include support of the U.S. Chamber of Commerce (not just the Foundation).   

Qualifications:

• Experienced attorney with 6+ years’ legal experience working with tax-exempt organizations, preferably with a strong background in analyzing and negotiating contracts and grants.   

• Juris Doctor degree with strong academic performance during law school.   

• Strong business sense.  

• Membership in good standing in, or eligibility to waive into, the District of Columbia Bar.   

• Demonstrated commitment to client service. Ability to oversee the work of outside counsel.  

• Strong legal research and analytical skills.  

• Outstanding verbal and written communication skills. Intellectual curiosity and resourcefulness.  

• Ability to work independently.  

• Ability to manage multiple matters for multiple stakeholders and set and adjust priorities.  

• Sound judgment.  

• Able to collaborate effectively with internal and external stakeholders.  

• Previous law firm experience a plus.   

• Previous in-house legal experience a plus.   

The salary range for this position is $240,000.00 to $250,000.00. The actual salary paid for this position will vary based on market data, an applicant’s qualifications, relevant degrees, certifications, and other factors. Our full-time employees are eligible for benefits, including health care, vision, dental, retirement, and paid leave.
