Altera is seeking a practical and collaborative Corporate Counsel to join its Corporate Legal team. Reporting to the Vice President, Corporate Legal, this attorney will support corporate governance, securities and disclosure, equity, talent, investor-relations, and strategic corporate matters. The role offers a strong law-firm-trained attorney the opportunity to become a trusted business partner to senior legal leadership andother key internal stakeholders. 

What you will do 

• Support the Board, committee, and stockholder-meeting processes, including agendas, materials, minutes, resolutions, consents, governance documents, and related corporate records. 

• Leadthe preparation of orassist with SEC filings, proxy materials, registration statements, Section 16 filings, disclosure controls, reporting calendars, insider-trading compliance, and related securities-law processes, as applicable. 

• Provide broad legal support to Finance onfinancial reporting,treasuryand other strategic initiatives, partnering with internal stakeholders and outside advisors as needed. 

• Partner with Finance, Accounting, Investor Relations, and Communications on earnings releases, investor presentations, press releases, website disclosures, and other external communications, including Regulation FD considerations. 

• Support equity andexecutive-compensation matters, including equity plans, award agreements, securities-law compliance, Compensation Committee materials, and relatedmatters. 

• Helpdevelop orassist with legalprocesses, workflows, compliance infrastructure, and governance practices; coordinate effectively with internal stakeholders, service providers, and outside counsel. 

The pay range below is for Bay Area California only. Actual salary may vary based ona number of factors including job location, job-related knowledge, skills, experiences,trainings, etc. We also offer incentive opportunities that reward employees based on individual and company performance.  

$209.5K - $250.0K USD

Qualifications:

What you will bring 

• J.D. from an accredited law school and active membership in good standing inCalifornia; eligibility to practice in-house in California. 

• 5+ years of relevant corporate legal experience at a leading law firm, with substantive training in corporate, securities, capital markets, executive compensation, or corporate-governance matters. 

• Strong foundation in corporate governance, corporate legal drafting, and managing complex matters with close attention to detail and deadlines. 

• Experience with, or a demonstrated desire to developexpertise in, SEC reporting, public-company disclosure, equity compensation, executive compensation, and Board support. 

• Ability to independently drive assigned workstreams, exercise sound judgment, and appropriatelyidentify and escalate issues. 

• Strong written, verbal, analytical, organizational, andproject-management skills. 

• Ability to build trusted relationships across functions and work effectively in a fast-paced, collaborative environment. 

• Sound judgment, integrity, discretion, and the ability to handle highly confidentialinformation. 

• Ability towork from in-office location in San Jose.  

• Experience with Workiva, Diligent, equity-administration platforms, or comparable corporate-legal tools.
