At The Market Offerings/Capital Markets Attorney

About the Role

Our client, a nationally recognized law firm with a premier corporate practice, is seeking a Capital Markets Associate Attorney to join its New York office.

This opportunity is ideal for an attorney with at least 2 years of public securities and/or capital markets experience who is interested in working closely with investment banks and underwriters, particularly in connection with At-The-Market (ATM) offerings and follow-on public offerings.

The role offers significant exposure to sophisticated clients, high-profile transactions, and day-to-day interaction with investment banking teams in a fast-paced capital markets environment.

Key Responsibilities

• Represent underwriters, investment banks, and public companies in capital markets transactions

• Support At-The-Market (ATM) offerings, follow-on offerings, and other public securities transactions

• Draft and review offering documents, underwriting agreements, and transaction-related materials

• Manage day-to-day workflow and client demands across multiple active transactions

• Conduct legal due diligence and support transaction execution

• Collaborate with internal corporate and securities teams on transactional matters

• Maintain strong client relationships with sophisticated investment banking clients

Required Qualifications

• At least 2 years of experience in:

  • Public securities offerings

  • Capital markets transactions

  • ATM offerings and/or follow-on offerings preferred

• Experience representing:

  • Underwriters

  • Investment banks

  • Public companies in securities transactions

• Strong ability to manage multiple transactions and deadlines simultaneously

• Excellent drafting, analytical, and communication skills

• JD from a nationally recognized law school with strong academic credentials

• Experience at a national or international law firm strongly preferred

• Admission to the New York Bar or eligibility to waive in
