About the Role
Our client is seeking an Associate Attorney to join its Tax Department, focusing on Executive Compensation, Employment, and Benefits.
This opportunity is ideal for an attorney with at least 3 years of experience advising clients on executive compensation, employee benefits, and related tax matters. The successful candidate will work on sophisticated transactions involving public and private companies, partnering with multidisciplinary legal teams to advise on compensation and benefits issues across mergers and acquisitions, capital markets transactions, and general corporate matters.
Key Responsibilities

Advise clients on executive compensation and employee benefits matters

Provide legal support on compensation and benefits aspects of:

Mergers & acquisitions
-
Capital markets transactions
-
Corporate reorganizations
-
General corporate transactions
-

Draft, review, and negotiate:
-
Executive employment agreements
-
Equity incentive plans
-
Bonus and incentive compensation arrangements
-
Severance and change-in-control agreements
-
Employee benefit plans
-
-
Counsel clients on the tax implications of executive compensation and employee benefit arrangements
-
Collaborate with attorneys across Tax, Corporate, Employment, and Capital Markets practices
-
Conduct legal research and prepare client-facing analyses on compensation, benefits, and tax developments
Required Qualifications

Minimum of 3 years of experience in:

Executive compensation
-
Employee benefits
-
Tax-related compensation matters
-

Strong knowledge of compensation and benefits laws and regulations

Experience advising clients on executive compensation arrangements and employee benefit plans

Excellent drafting, analytical, and communication skills

Ability to manage multiple sophisticated matters simultaneously

Strong academic credentials from a nationally recognized law school

Juris Doctor (JD) degree required

Admission to practice law in the applicable jurisdiction or eligibility for admission
