Job Description

Purpose of the role

To ensure that the financial services regulation activities are conducted in compliance with applicable laws and regulations, and to help the bank manage legal and regulatory risks associated with these activities. 

Accountabilities

  • Development and implementation of best practice legal strategies for risk management and compliance.
  • Legal advice and support to the business on regulatory affairs, including regulatory compliance, risk management, and transactional matters.
  • Subject matter support in the Legal department’s representation of the bank in legal proceedings related to regulatory matters, such as litigation, arbitration, and regulatory investigations.
  • Review of relevant legislation and regulation and creation and review of legal documents, where applicable, to ensure compliance with applicable laws and regulations.
  • Legal research and analysis to stay up to date on changes in laws and regulations that may impact the bank's operations.
  • Developing and delivering training programmes to educate employees on applicable legal and regulatory requirements related to the bank's operations.
  • Pro-active identification, communication, and provision of legal advice on applicable laws, rules and regulations (LRRs). Keeping up to date with regards to changes to LRRs in the relevant coverage area. Ensuring that LRRs are effectively allocated to, and adequately reflected within, the relevant policies, standards and controls.

Director Expectations

  • To manage a business function, providing significant input to function wide strategic initiatives. Contribute to and influence policy and procedures for the function and plan, manage and consult on multiple complex and critical strategic projects, which may be business wide..
  • They manage the direction of a large team or sub-function, leading other people managers and embedding a performance culture aligned to the values of the business. Or for an individual contributor, they lead organisation wide projects and act as deep technical expert and thought leader, identifying new ways of working and collaborating cross functionally. They will train, guide and coach less experienced specialists and provide information affecting long term profits, organisational risks and strategic decisions..
  • Provide expert advice to senior functional management and committees to influence decisions made outside of own function, offering significant input to function wide strategic initiatives.
  • Manage, coordinate and enable resourcing, budgeting and policy creation for a significant sub-function.
  • Escalates breaches of policies / procedure appropriately.
  • Foster and guide compliance, ensure regulations are observed that relevant processes in place to facilitate adherence.
  • Focus on the external environment, regulators, or advocacy groups to both monitor and influence on behalf of Barclays, when appropriate.
  • Demonstrate extensive knowledge of how the function integrates with the business division / Group to achieve the overall business objectives.
  • Maintain broad and comprehensive knowledge of industry theories and practices within own discipline alongside up-to-date relevant sector / functional knowledge, and insight into external market developments / initiatives.
  • Use interpretative thinking and advanced analytical skills to solve problems and design solutions in often complex/ sensitive situations.
  • Exercise management authority to make significant decisions and certain strategic decisions or recommendations within own area.
  • Negotiate with and influence stakeholders at a senior level both internally and externally.
  • Act as principal contact point for key clients and counterparts in other functions/ businesses divisions.
  • Mandated as a spokesperson for the function and business division.

We have an excellent opportunity for a US Bank Regulatory Legal Director to join our Global Legal Team. This is a permanent role, based in New York.

This role reports to the Head of U.S. Bank Regulatory Legal, who also serves as General Counsel for Barclays Capital Inc. (“BCI”), Barclays' U.S. broker-dealer. The U.S. Bank Regulatory Legal team provides U.S. bank regulatory advice globally across Barclays, supports Barclays Digital Assets initiatives, and serves as lead counsel for regulatory capital issuances andtransactions within the US group. As a Directoron the U.S. Bank Regulatory Legal team, you will provide legal advice and strategic support on bank regulatory matters and other areas of team coverage, working alongside seasoned regulatory and corporate attorneys and senior stakeholders across the Americas.

 

To be successful as a Director on the U.S. Bank Regulatory team, you should have:

  • 8+years of legal experience, including significant experience advising on bank regulatory matters and engaging with banking regulators (Federal Reserve, NY DFS, OCC, and FDIC) and work at a leading law firm and/or within a major financial institution   
  • Strong expertise in U.S. bank regulatory prudential requirements, including Regulation Y (Bank Holding Companies and Change in Bank Control), Regulation W (Transactions Between Member Banks and Their Affiliates), Regulation YY (Enhanced Prudential Standards), Regulation Q (Capital), Regulation O (Insider Lending) and Regulation WW (Liquidity)
  • Extensive experience assessing legal and regulatory risk in time-sensitive, high-profile, and sensitive situations, with a proven track record of providing practical, risk-based advice on matters of strategic importance to the organization
  • Demonstrated success leading cross-functional regulatory initiatives and driving outcomes through influence, including with stakeholders and project teams over whom you have no direct management authority
  • Proven track record of independently managing complex domestic and cross-border regulatory matters end-to-end from issue identification through resolution, exercising sound judgment and appropriately balancing legal, regulatory, operational, and business considerations
  • Deep understanding of governance, risk management, and control frameworks within large banking organizations, including experience partnering effectively with Compliance, Risk, Audit, and other control functions to strengthen the control environment
  • Presence, maturity, and credibility to engage effectively with senior management, regulators, external counsel, and other key stakeholders on significant legal and regulatory matters
  • A New York law license

 

Some other highly valued skills/experience include:

  • At least 3 years of experience as an in-house bank regulatory lawyer advising senior management, with a demonstrated track record of developing trusted-advisor relationships with senior executives and business leaders  
  • Strong legal analytical skills, with the ability to identify practical solutions and clearly communicate complex legal and regulatory concepts
  • Self-motivation, a strong drive for results, and a track record of taking ownership of significant matters and delivering successful outcomes
  • Exceptional attention to detail and the ability to exercise sound independent judgment
  • Strong collaboration and relationship-management skills, with the emotional intelligence to build trust, foster teamwork, and maintain engagement across stakeholders during lengthy or complex regulatory initiatives
  • A positive and pragmatic leadership style, with a track record of building consensus, maintaining momentum, and driving progress through challenging, resource-intensive, or multi-year projects
  • Ability to balance legal precision with commercial and operational considerations and provide actionable advice in a complex, matrixed organization

Salary / Rate Minimum: $270,000

Salary / Rate Maximum: $330,000
