Job Description
The Construction, Software, and Services division is hiring a Corporate Counsel. Reporting to the General Counsel Hexagon Infrastructure & Geospatial (I&G), you will be a trusted legal advisor to the executive team, drafting, reviewing, and negotiating a broad range of commercial and franchise agreements while supporting corporate governance, compliance, and risk management across the business. With strong business acumen, sound judgment, and clear communication, you will build trust with stakeholders at every level of the organization and help the business grow safely and quickly.
Responsibilities
- Prepare and maintain franchise disclosure documents, franchise agreements, and addenda, and ensure compliance with all franchise laws and regulations
- Draft, review, and negotiate customer, reseller, and vendor agreements, along with NDAs, MSAs, and SaaS agreements
- Build and maintain contract templates and playbooks that accelerate deal velocity while managing legal risk
- Familiarity with drafting and negotiating SaaS agreements
- Oversee international franchise expansion
- Manage trademark and trade secret protection for the business
- Serve as a trusted legal advisor to the executive team, providing timely and pragmatic legal counsel on strategic and operational matters
- Provide legal oversight for a group of international entities, including entity governance, board support, and compliance with local corporate and regulatory requirements
- Maintain company registers, draft board and committee resolutions and minutes
- Advise on legal risks and mitigation strategies, supporting good governance through appropriate discussion and escalation of issues
- Oversee outside counsel and litigation matters, including budgets and strategy
- Identify and analyze new legislation, and proactively propose and implement solutions
- Maintain the company's data privacy framework, including customer data processing agreements
- Advise on employment matters, including hiring, worker classification, and policy questions across US operations and internationally
- Develop and deliver legal and compliance training across the organization
- Help maintain and develop policies, standards, and checklists
- Supervise, mentor, and provide day-to-day oversight for Associate Legal and Compliance Counsel
- Participate in cross-functional project teams and committees
- Limited travel is required to see internal clients and lawyers, with an expectation of approximately 10%, when normal levels of travel return.
Desired Skills
Must Have- A JD from an accredited university and an active license to practice law, in good standing, in a US jurisdiction
- International franchise experience, including FDD compliance and franchise agreement drafting and enforcement
- At least 7-10 years of corporate commercial experience gained in-house or at a top-tier law firm
- Experience managing outside counsel, budgets, and strategy
- Experience supporting a multi-entity global business, including cross-border matters
- Experience providing legal oversight for a group of international entities, including entity governance and local compliance requirements
- Comfort presenting legal risk to senior leadership in practical business terms
- Self-starter who is able to work independently as well as collaboratively
- Expertise in drafting and negotiating commercial and technology-related contracts
- Track record of delivering pragmatic, risk-based legal advice
- Superb accuracy and attention to detail
- Exceptional time management and organization skills, with the ability to meet deadlines and manage competing priorities in a fast-paced environment
- Knowledge of GDPR and data privacy laws in the US and internationally
- Experience in the construction technology or built-environment industry
- Expertise in intellectual property licensing
- Certification in data privacy or AI
- Experience using AI-enabled tools responsibly to improve efficiency in legal research, drafting, contract review, workflow management, or other daily legal tasks
