About The Position:
The Executive Assistant, Corporate Governance & Board Operations provides high-level administrative and governance support tothe Deputy General Counsel and legal leadership team, focusing on board management andcorporate governance. As the central liaison for the Board of Directors, this role ensuresseamless communication and meticulous preparation of materials for executive meetings.The ideal candidate is a proactive, highly organized professional who handles competingdemands with exceptional judgment, strict confidentiality, and high integrity.
Hybrid 3x a week- NYC
In-office Expectations: This position is hybrid in-office, with the ability to work remotely for up to 2 days per week.

About The Position’s Contributions:
75% Board of Directors & Corporate Governance Support:
Manage logistics for Board and Committee meetings, including scheduling,facilities, and virtual arrangements.
Prepare and distribute confidential Board materials, agendas, andpresentations per established timelines.
Maintain the Board portal to ensure secure and timely document updates.
Coordinate the collection of reports and presentations from executiveleadership for Board books.
Track Board action items, resolutions, and follow-up requests to ensure timelycompletion.
Maintain official corporate records, including minutes, resolutions, andgovernance documentation.
Assist with governance initiatives, such as calendars, director onboarding, andshareholder meetings.
Oversee the execution and retention of resolutions, written consents, andexecutive certifications.
10% Operational Excellence:
Identify opportunities to improve administrative and operational processesthat increase efficiency within the Legal department.
Build collaborative relationships across Legal, Human Resources, Finance,Executive Leadership, and other business functions.
Anticipate business needs and proactively recommend solutions that enhanceexecutive effectiveness and department operations.
10% Executive Admin Support to Deputy General Counsel, Head of Corporate Legal Affairs & Litigation:
Provide comprehensive executive support to the Deputy General Counsel(calendar, travel, expenses, and communications)
Facilitate legaloperations (meeting coordination, document management, contractadministration, budgeting, and vendor support).
5% Executive and Legal Team Support Back-Up:
Serve as back-up coverage during the Executive Legal Assistant's absence toprovide comprehensive executive support to the SVP and General Counsel as needed including:calendar, travel, expenses, and communications, meeting coordination, document management, contractadministration, budgeting, and vendor support.
The Role’s Minimum Qualifications and Job Requirements:
Education:
Bachelor’s degree in Business Administration, Legal Studies, or a related field preferred; orequivalent combination of education and professional experience.
Experience:
5+ years of executive administrative or paralegal experience supporting C-suiteexecutives, preferably within a Legal department.
Experience supporting a Chief Legal Officer, General Counsel, Corporate Secretary,or Board of Directors strongly preferred.
Experience handling highly confidential legal, employment, corporate governance, orexecutive information.
Experience coordinating Board of Directors meetings and preparing Board materialspreferred.
Experience working in a publicly traded company or highly regulated environment is aplus.
Specific Knowledge, Skills, Certifications and Abilities:
Advanced proficiency in Microsoft Office Suite (Outlook, Word, Excel, PowerPoint),Zoom, and Google Workspace ( Gmail, Google Drive, Google Sheets, Google Docs,Google Slides.
Demonstrated ability to handle highly confidential, proprietary, and sensitiveinformation with absolute discretion. Demonstrated ability to exercise sound judgment, professionalism, and discretion.
Exceptional written, verbal, and interpersonal communication skills, with the ability tointerface confidently with C-suite executives and board members.
High level of organizational skill with a proven ability to prioritize heavy workloads,manage multiple deadlines, and maintain meticulous attention to detail and accuracy.
Strong problem-solving skills with the ability to anticipate executive needs.
Ability to build strong relationships across all levels of the organization, includingexecutive leadership and Board members.
Ability to work independently while maintaining flexibility in a dynamic, fast-pacedenvironment.
% Travel Required (Approximate):0% – 5% (Occasional travel may be required for off-siteboard meetings).

Pay Range
Hourly: New York: $40.00 - $48.00The pay range above represents the anticipated low and high end of the pay range for this position and may change in the future. Actual pay may vary and may be above or below the range based on various factors including but not limited to work location, experience, and performance. The range listed is just one component of People Inc's total compensation package for employees. Other compensation may include annual bonuses, and short- and long-term incentives.
