About the Role
Our client is seeking a Government Contracts Senior Associate to join its Government Contracts and National Security practice groups in Washington, DC.
This role is ideal for an attorney with 5+ years of government contracts experience, including meaningful transactional support, regulatory counseling, and national security-related matters. The successful candidate will advise clients on sophisticated government contracts issues involving M&A, structured investments, facility security clearances, FOCI analyses, cybersecurity compliance, and federal contracting requirements.
Key Responsibilities

Provide government contracts support for:

Mergers & acquisitions

Structured investments
-
Corporate transactions involving government contractors

Advise clients on DCSA facility security clearances and FOCI analyses

Counsel clients on government contracts regulatory matters, including:

Small business set-aside programs
-
SBIR and STTR awards
-
Rights in technical data
-
Software rights
-
Subject inventions
-
Cybersecurity and CMMC compliance
-

Draft, review, and negotiate:
-
Prime contracts
-
Subcontracts
-
Teaming agreements
-
Government contracts-related transaction documents
-

Manage short-deadline assignments while producing high-quality work product

Collaborate with corporate, national security, regulatory, and transactional teams
Required Qualifications

5+ years of government contracts practice experience
-
Significant experience with:
-
Government contracts transactional support
-
Regulatory counseling
-
M&A or investment-related government contracts matters
-
DCSA facility security clearances
-
FOCI analyses
-

Strong knowledge of federal contracting rules and compliance issues

Excellent legal writing, analytical, and communication skills
-
Ability to manage multiple urgent assignments simultaneously

Strong academic credentials from a nationally recognized law school

JD degree required
Preferred Qualifications

Experience with cybersecurity/CMMC compliance

Experience advising government contractors in transactional matters

National security practice exposure

Large law firm or nationally recognized government contracts practice background
